These Terms of Service ("Terms") govern your access to and use of the website operated by Shield of Steel LLC ("Shield of Steel," "we," "us," or "our"), along with any forms, quotes, assessments, communications, and inquiries you submit through it. They form a binding agreement between you and Shield of Steel LLC. Please read them carefully. If you do not agree, do not use this site.

1. Acceptance of These Terms

By accessing this website, submitting a contact or assessment request, applying for employment, or otherwise communicating with us through the channels published here, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using this site on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not have such authority, or you do not agree, you must not use this site.

2. About Shield of Steel and the Scope of This Site

Shield of Steel LLC is a veteran-owned, founder-led private security firm headquartered at 2682 Lamar Ave, Memphis, TN 38114, serving Tennessee and Mississippi. We hold Tennessee Private Protective Services license #14310, issued by the Department of Commerce and Insurance. Our services include armed and unarmed security officers, GPS-tracked mobile patrol, alarm response, event security, executive protection, risk advisory, training, healthcare security, and Cyber Command managed security operations.

These Terms apply only to your use of this website and the inquiries you make through it. They are not the contract under which we provide security services. Any engagement for security services is governed exclusively by a separate written agreement signed by both you and Shield of Steel, as described in Section 4.

3. Informational Nature of This Site

All content on this website is provided for general informational purposes. Service descriptions, capability summaries, pricing references, quotes, proposals, security assessments, and recommendations are informational and illustrative. They are not professional advice for your specific situation, and they are not binding commitments.

You should not rely on anything published here as a substitute for a tailored security evaluation or a signed engagement. Reliance on website content is at your own risk.

4. No Binding Offer; A Signed Agreement Is Required

Nothing on this site, and no quote, estimate, assessment, proposal, email, text message, or conversation arising from your inquiry, constitutes a binding offer or creates a security-services contract. No security-services relationship exists, and no obligation to provide protection or services arises, until Shield of Steel and you have executed a separate written services agreement signed by both parties.

Until that agreement is signed, we have no duty to monitor, patrol, respond, protect, or take any protective action of any kind. Submitting a form, requesting a quote, or receiving an assessment does not place you under our protection.

5. No Guarantee of Specific Security Outcomes

Security is a discipline of risk reduction, not risk elimination. Even under a signed services agreement, no security provider can guarantee that loss, injury, theft, intrusion, harm, or other adverse events will not occur. We do not promise, and you should not infer, any specific security result from our website, our communications, or our services.

Any statements about our capabilities, methods, or response are descriptions of how we work, not warranties or guarantees of a particular outcome.

6. Emergency Disclaimer

This website, our online forms, our email, and our published phone numbers are not monitored for emergencies and must never be used to report one. They are intended for general inquiries, quotes, and assessment requests, and there may be delays before any submission is reviewed.

If you are facing an emergency, a threat to life or safety, a crime in progress, a fire, or a medical crisis, call 911 immediately. Do not rely on this site or our published numbers to summon emergency help. If you are an active client, follow the dispatch and escalation procedures set out in your signed services agreement.

7. Communications and Text Messaging

When you contact us through this site, by email, by phone, or by text, you consent to receive responses through the same or related channels. Calls to our published numbers may be recorded and transcribed for quality, training, dispatch accuracy, and security, as described in our Privacy Policy.

If you provide a mobile number, you may receive operational and service text messages from us. Message frequency varies, and message and data rates may apply. You can reply STOP to opt out at any time and HELP for help. The complete text-messaging terms, including consent, opt-out, and our commitment that your mobile number and SMS consent are never shared with third parties or affiliates for their marketing purposes, are set out in full in our Privacy Policy. Opting in to text messages is never a condition of receiving any service.

This Section governs the website only and does not limit any express commitments made in a signed services agreement.

13. Limitation of Liability

To the fullest extent permitted by law, Shield of Steel LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of, or inability to use, this website or our intake communications, whether based in contract, tort, negligence, strict liability, or any other theory, even if we have been advised of the possibility of such damages.

To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to this website and these Terms will not exceed one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law. The rights and obligations relating to security services are governed solely by the applicable signed services agreement, not by these Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless Shield of Steel LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of this site, your violation of these Terms, your violation of any law or third-party right, or the information you submit to us.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to your use of this website are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute that proceeds in court will be the state or federal courts located in Shelby County, Tennessee, and you consent to the personal jurisdiction of those courts.

16. Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us in good faith at the information in Section 19 so that we may attempt to resolve the matter informally. Most concerns can be resolved this way. If a dispute cannot be resolved informally, it will be subject to the governing law and venue provisions in Section 15. This Section addresses disputes about this website and these Terms; any dispute-resolution terms in a signed services agreement control for matters arising under that agreement.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shield of Steel regarding your use of this website, and they supersede any prior understandings on that subject. They do not supersede or amend any signed services agreement.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes take effect when posted, and your continued use of the site after we post changes constitutes your acceptance of the revised Terms.
